Terms of Service

Three documents apply to your use of Soundbooked. The General Terms of Service apply to everyone. The Guest Agreement applies when you book a session, and the Studio Host Agreement applies when you list a studio. Where a document is more specific, it controls for matters within its scope.

General Terms of Service

Applies to All Users — Studio Hosts and Guests · Last Updated: August 10, 2026

IMPORTANT: These Terms of Service contain a binding arbitration clause and class action waiver. By using Soundbooked you agree to resolve disputes through individual binding arbitration rather than in court. Please read Section 12 carefully.

These Terms do not constitute legal advice. Soundbooked strongly recommends that all users — particularly Studio Hosts — consult qualified legal and tax professionals before listing or booking on the platform.

1. Introduction and Acceptance

These General Terms of Service ('Terms') govern your access to and use of the Soundbooked platform, including the Soundbooked website, mobile applications, and all related services (collectively, the 'Platform'). The Platform is owned and operated by Soundbooked LLC, a Delaware limited liability company ('Soundbooked,' 'we,' 'us,' or 'our').

By creating an account, accessing the Platform, or completing any booking transaction, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform. These Terms apply to all users of the Platform, including studio space providers ('Studio Hosts') and artists and other users who book sessions ('Guests').

Additional terms apply to Studio Hosts (the Studio Host Agreement) and to Guests at their first booking (the Guest Agreement). In the event of a conflict between these General Terms and the Studio Host Agreement or Guest Agreement, the more specific document controls for matters within its scope.

2. Platform as Intermediary

Soundbooked is a technology platform that facilitates connections between independent Studio Hosts and independent Guests. Soundbooked does not own, operate, manage, supervise, or control any studio listed on the Platform. Soundbooked is not a party to any agreement between a Studio Host and a Guest for the provision of studio services.

Soundbooked does, however, process the booking payment. Each Studio Host appoints Soundbooked as its limited payment collection agent to collect amounts due from Guests on the Studio Host's behalf. Payment made to Soundbooked satisfies the Guest's payment obligation to the Studio Host. Charges appear on the Guest's card statement under Soundbooked's name, and refunds and payment disputes are handled by Soundbooked as described in these Terms.

The provision of studio services is the sole responsibility of the Studio Host. Soundbooked's role is limited to facilitating the booking transaction, processing payments as described above, and providing the technology infrastructure through which Studio Hosts and Guests connect.

By using the Platform, you acknowledge and agree that: (a) Soundbooked is not an agent of any Studio Host or Guest; (b) Soundbooked does not endorse any listing or user; (c) Soundbooked makes no representations or warranties regarding the quality, safety, legality, or suitability of any studio listed on the Platform; and (d) any contract for studio services is formed directly between the Studio Host and the Guest.

3. Eligibility

You must be at least 18 years of age to create an account or use the Platform. By creating an account, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal capacity and authority to enter into these Terms; (c) all information you provide to Soundbooked is accurate, current, and complete; and (d) your use of the Platform does not violate any applicable law or regulation.

Soundbooked reserves the right to refuse access to the Platform to any person at any time for any reason, including for violation of these Terms.

3.1 Minor Attendees

The 18-year minimum age requirement applies to account creation and booking only. A registered Guest who is 18 years of age or older may book a session and bring a minor — including their child or a minor under their legal guardianship — to attend the session, provided that the registered Guest is physically present and acting as a supervising chaperone for the duration of the session. The registered Guest assumes full responsibility for the conduct and safety of any minor attendee. Soundbooked does not permit unaccompanied minors on studio premises booked through the Platform under any circumstances.

4. Accounts and Registration

To access most features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify Soundbooked immediately of any unauthorized use of your account. Soundbooked is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

You may not create more than one account without Soundbooked's express written permission. Soundbooked reserves the right to suspend or terminate accounts that contain false or misleading information.

5. Payments and Fees

All payments on the Platform are processed by Stripe, Inc., a third-party payment processor. By using the Platform, you agree to Stripe's terms of service in addition to these Terms. Soundbooked does not store credit card or bank account information — all payment data is handled exclusively by Stripe.

5.1 All-In Pricing and Platform Fees

Soundbooked uses all-in pricing. The rate displayed on every listing already includes Soundbooked's platform fee — there are no additional platform charges added at checkout. The price a Guest sees is the price they pay, plus sales tax where applicable as described below. Soundbooked reserves the right to adjust its platform fee structure at any time at its sole discretion. Any changes to platform fees will be communicated to users in advance of taking effect. Platform fees are non-refundable unless a booking is cancelled due to a verified Studio Host failure, including Studio Host cancellation of a confirmed booking or a studio materially failing to match its listing description.

Displayed prices on the Platform are rounded up to the nearest whole dollar following the calculation of all applicable fees. The rounded amount displayed is the exact amount charged to the Guest at checkout, before sales tax. Whether sales tax applies depends on the state and locality where the studio is located: where the law requires it, sales tax is calculated on the displayed price, itemized separately, and added at checkout before payment; where it does not, no tax is added and the displayed price is the full charge.

5.2 Payment Authorization and Capture

When a Guest submits a booking request, Soundbooked authorizes the Guest's payment method for the full booking amount. The authorized funds are reserved but not charged at the time of the request. Payment is captured — meaning the Guest's payment method is actually charged — only upon confirmation of the booking, which occurs automatically when the Studio Host accepts the booking request. If a Studio Host declines a booking request or the request expires without a response, the authorization is released and no charge is made to the Guest's payment method.

5.3 Studio Host Payouts

Soundbooked reserves the right to withhold or delay payouts where Soundbooked determines in good faith that there is a credible dispute, damage claim, suspected violation of these Terms, or pending investigation, or to recover cancellation fees owed under the Studio Host Agreement. This right applies regardless of whether the payout would otherwise have been released under the review/14-day mechanic described in Section 7 of the Studio Host Agreement.

5.4 Taxes

Each user is solely responsible for determining and fulfilling their own tax obligations arising from their use of the Platform. Soundbooked does not provide tax advice. Where required by applicable law, applicable sales or occupancy taxes may be added to the total amount at checkout. Soundbooked collects and remits applicable taxes as required by law. Tax treatment varies by jurisdiction and session type. Where required by applicable law, Soundbooked or Stripe may issue tax reporting documents including Form 1099-K to Studio Hosts who meet applicable thresholds. Users should consult a qualified tax professional regarding their specific obligations.

5.5 Third-Party Payment Processing

Soundbooked is not liable for any delays in payment processing, payout timing, or refund processing caused by Stripe or any other third-party payment processor. All payment timing representations are estimates only and are subject to Stripe's processing schedules, verification requirements, and applicable policies.

6. Prohibited Conduct

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights
  • Post false, misleading, or fraudulent content, including inaccurate listing information
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Circumvent, disable, or interfere with any security-related features of the Platform
  • Harvest or collect user information without consent
  • Harass, threaten, or discriminate against any other user
  • Upload or transmit viruses, malware, or any other harmful code
  • Use the Platform for any commercial purpose not expressly permitted by these Terms

Soundbooked reserves the right to suspend or permanently terminate any account found to be in violation of this section without prior notice.

6.1 Anti-Circumvention

Users agree not to solicit, arrange, or complete any booking, session, or related transaction with any party introduced through the Soundbooked Platform outside of the Platform ('Off-Platform Transaction') for a period of eighteen months from the date of first introduction through the Platform. Off-Platform Transactions — also referred to as 'leakage' — include but are not limited to arranging sessions via direct messaging, cash, third-party payment apps, or any other means that bypasses Soundbooked's payment infrastructure.

Any confirmed or reported Off-Platform Transaction will result in immediate and permanent removal of all involved accounts from the Platform without prior notice. Soundbooked reserves the right to invoice any Studio Host for platform fees applicable to confirmed Off-Platform Transactions discovered within the eighteen-month tail period.

7. User Content

Users may submit content to the Platform including listing descriptions, photos, reviews, and messages ('User Content'). By submitting User Content, you grant Soundbooked a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute your User Content for the purpose of operating and promoting the Platform.

You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not infringe any third-party intellectual property rights; and (c) your User Content is accurate and not misleading.

Soundbooked reserves the right to remove any User Content that violates these Terms or that Soundbooked determines in its sole discretion to be inappropriate, inaccurate, or harmful.

8. Privacy

Soundbooked's collection, use, and disclosure of personal information is governed by the Soundbooked Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in the Privacy Policy.

9. Text Messages (SMS)

9.1 The Messaging Program

If you opt in, Soundbooked sends text messages to the mobile number on your account about bookings you are party to. These are transactional notifications: a booking request received, a booking confirmation, an approval with a link to pay, a cancellation, a reminder before a session, and a prompt to review a completed session. Soundbooked does not send marketing or promotional text messages.

One-time passcodes used to sign in or to verify a phone number are part of authentication rather than this program. They are sent whether or not you opt in to booking notifications, and cannot be turned off while you use a phone number to sign in.

You opt in by selecting the booking-updates checkbox when you create your account. The checkbox is not selected for you. Soundbooked records the date and time of your consent.

Consent to receive text messages is not a condition of purchase or of using the Platform. If you do not opt in, you receive the same notifications by email instead.

9.3 Frequency, Cost, and Carriers

Message frequency varies and depends on your own booking activity. Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages.

9.4 Stopping Messages

Reply STOP to any Soundbooked text message to stop booking notifications. Reply HELP for help, or contact support@soundbooked.com. You can also turn booking texts off at any time in your account under Account, then Notifications. Because the Platform requires at least one channel on which Soundbooked can reach you about a booking, turning off booking texts may require you to add an email address to your account.

9.5 Your Mobile Information

Soundbooked does not share, sell, or provide your mobile phone number or your messaging consent data to third parties or affiliates for marketing or promotional purposes. Your number is shared only with the messaging provider that delivers the message on Soundbooked's behalf, and only for that delivery. Section 8 and the Privacy Policy govern all other handling of your information.

10. Intellectual Property

The Platform and all content, features, and functionality thereof — including but not limited to software, text, graphics, logos, icons, images, and compilations thereof — are owned by Soundbooked and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right or license to use Soundbooked's intellectual property without express written permission.

11. Disclaimers

THE PLATFORM IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SOUNDBOOKED DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

SOUNDBOOKED MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY STUDIO LISTING, STUDIO HOST, OR GUEST ON THE PLATFORM. YOUR USE OF THE PLATFORM AND ANY STUDIO BOOKED THROUGH THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUNDBOOKED AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, PROPERTY DAMAGE, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF SOUNDBOOKED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOUNDBOOKED'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO SOUNDBOOKED THROUGH THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

13. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal dispute process, you agree to first contact Soundbooked Support to attempt informal resolution. Soundbooked will attempt to resolve the dispute informally within 30 days of receiving your notice. If the dispute is not resolved within 30 days, either party may proceed to the dispute resolution process described below.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any booking transaction — including the determination of the scope or applicability of this agreement to arbitrate — shall be resolved by binding arbitration administered by the American Arbitration Association ('AAA') under its Consumer Arbitration Rules, except as set forth herein. The arbitration shall be conducted in New York, New York. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND SOUNDBOOKED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Soundbooked agree otherwise, the arbitrator may not consolidate more than one person's claims.

12.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court in lieu of arbitration for disputes within that court's jurisdiction, provided the matter remains in small claims court and proceeds only on an individual basis.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. For any claims not subject to arbitration under Section 12, the parties consent to the exclusive jurisdiction of the state and federal courts located in New York, New York.

15. Termination

Soundbooked reserves the right to suspend or terminate your access to the Platform at any time, for any reason, with or without notice, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Sections 10, 11, 12, and 13 survive termination of these Terms.

16. Changes to These Terms

Soundbooked reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform and updating the effective date. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

17. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and Soundbooked regarding your use of the Platform and supersede all prior agreements. Soundbooked's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.1 Force Majeure

Soundbooked shall not be liable for any failure or delay in performance arising out of or caused by circumstances beyond Soundbooked's reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, power outages, internet or telecommunications failures, or any other cause beyond Soundbooked's reasonable control.

Guest Agreement

Applies to All Artists and Guests Booking Through Soundbooked · Last Updated: August 10, 2026

This Guest Agreement supplements the Soundbooked General Terms of Service, which you also agreed to when creating your account. In the event of a conflict, this Guest Agreement controls for matters specific to Guests. Your use of the Platform constitutes acceptance of this Agreement.

1. Your Relationship with Soundbooked

Soundbooked is a technology platform that connects artists and other creators ('Guests') with independent Studio Hosts. When you book a studio through Soundbooked, your contract for studio services is with the Studio Host — not with Soundbooked. Soundbooked facilitates the transaction but is not a party to your session agreement with the Studio Host.

Soundbooked does not own, operate, or control the studios listed on the Platform. Soundbooked makes no guarantees regarding the quality, safety, or suitability of any studio. You use the Platform and attend sessions at your own risk.

2. Booking a Session

2.1 Instant Book and Request to Book

Studios on Soundbooked offer one of two booking flows. Instant Book listings are confirmed immediately upon payment capture. Request to Book listings require the Studio Host to accept your request before the booking is confirmed and your payment is captured. Soundbooked does not guarantee that Request to Book sessions will be accepted.

2.2 What You're Agreeing To

By completing a booking, you confirm that: (a) all booking details including date, time, duration, number of attendees, and any add-ons are accurate; (b) you have read and agree to the Studio Host's cancellation policy, which is displayed before payment is confirmed; (c) you have read and agree to the Studio Host's house rules, which are displayed on the listing page; and (d) you have read and agree to this Guest Agreement.

2.3 Payment and Authorization

When you submit a booking request, Soundbooked authorizes your payment method for the full booking amount. Your payment method is reserved but not charged at the time of the request. For Instant Book listings, your payment is captured immediately upon submission. For Request to Book listings, your payment is captured only when the Studio Host accepts your request. If a Studio Host declines your request or does not respond within the required window, the authorization is released and no charge is made to your payment method.

All pricing on Soundbooked is all-in. The rate displayed on every listing already includes Soundbooked's platform fee — there are no additional platform charges added at checkout. The price you see is the price you pay. Where applicable, sales or occupancy taxes may be added at checkout in accordance with applicable law. By completing payment, you agree to the total amount displayed at the time of booking.

Displayed prices on the Platform are rounded up to the nearest whole dollar following the calculation of all applicable fees. The rounded amount displayed is the exact amount charged to the Guest at checkout.

2.4 Minor Attendees

As a registered Guest you are permitted to book a session and bring a minor — including your child or a minor under your legal guardianship — to attend the session, provided you are physically present and acting as a supervising chaperone for the full duration of the session. You assume full responsibility for the conduct and safety of any minor attendee. Unaccompanied minors are not permitted on studio premises booked through the Platform under any circumstances.

3. Cancellations and Refunds

3.1 Guest Cancellations

If you need to cancel a booking, your refund is determined by the Studio Host's cancellation policy, which you agreed to at the time of booking:

  • Flexible: Full refund of the studio rate if cancelled at least 24 hours before the session start time.
  • Moderate: Full refund of the studio rate if cancelled at least 5 days before the session start time; 50% of the studio rate if cancelled after that point.
  • Strict: 50% of the studio rate if cancelled at least 7 days before the session start time; no refund for cancellations within 7 days.

No refund is issued for a cancellation submitted after the session has ended.

Soundbooked's platform fee component is non-refundable in all cases unless the cancellation is due to a verified Studio Host failure.

3.2 Studio Host Cancellations

If a Studio Host cancels your confirmed booking for any reason, you will receive a full refund of all amounts paid including any platform fees collected at the time of booking. If a Studio Host declines your Request to Book, your payment authorization is released and no charge is made.

3.3 Listing Misrepresentation

If you arrive at a studio and find that it materially fails to match its listing description — for example, key equipment listed is not present, or the space is substantially different from the photos — you must contact Soundbooked Support within one hour of your session start time. Soundbooked Support will review your claim and, if substantiated, may issue a partial or full refund at its discretion.

4. Your Conduct

4.1 General Conduct Standards

You agree to treat all studio spaces and their equipment with care and respect. You are responsible for the conduct of all members of your session group, including any minor attendees. By booking through Soundbooked, you agree to the following conduct standards for every session:

  • Arrive on time and depart within your booked time window. Early arrivals and late departures beyond your booked time require advance Studio Host approval.
  • Do not bring additional people beyond the declared headcount at booking. The studio's maximum capacity must be respected at all times.
  • Leave the studio in the same condition you found it. Do not move, reconfigure, or disassemble equipment without Studio Host permission.
  • Do not record other parties present at the session without their explicit consent.
  • Comply with the Studio Host's house rules as displayed on the listing.
  • Do not smoke, vape, or use controlled substances on studio premises unless explicitly permitted in the Studio Host's house rules.
  • Do not sublet, transfer, or assign your booking to a third party without the Studio Host's explicit written consent.
  • Do not engage in any activity that would void the Studio Host's insurance policy, including conduct that constitutes illegal activity.

4.2 Liability for Damage

You are liable for any damage to the studio or its equipment caused by you or any member of your session group during a Soundbooked booking. This liability includes the full cost of repair or replacement. If you cause damage, you agree to cooperate with the Soundbooked Support process and to pay any amount determined to be owed to the Studio Host.

4.3 Safety

You are responsible for your own safety and the safety of your session group — including any minor attendees — while on studio premises. Soundbooked is not responsible for any injury, illness, or harm occurring during or in connection with a session. If you encounter an unsafe condition at a studio, you should leave immediately and contact Soundbooked Support through the Platform.

5. Reviews

After completing a session, you may leave a review of the studio and Studio Host. By submitting a review, you warrant that: (a) the review is based on your genuine first-hand experience; (b) the review is accurate and not misleading; and (c) the review does not contain defamatory, harassing, or otherwise unlawful content. Soundbooked reserves the right to remove reviews that violate these standards.

6. Disputes

If you have a dispute with a Studio Host, you agree to first attempt direct resolution through the Soundbooked in-platform messaging system. If direct resolution is not possible, you may contact Soundbooked Support within 48 hours of the incident to file a formal dispute. Soundbooked Support will review submitted evidence from both parties and make a determination within 5 business days.

For disputes not resolved through Soundbooked Support, the arbitration process set forth in Section 12 of the General Terms of Service applies.

7. Account Suspension

Soundbooked may suspend or permanently terminate your Guest account for: (a) violation of this Guest Agreement or the General Terms of Service; (b) two or more substantiated complaints from Studio Hosts regarding your conduct or failure to pay; (c) confirmed damage to a studio; (d) repeated late cancellations or no-shows; (e) fraudulent activity; or (f) any conduct Soundbooked determines to be harmful to the Platform or its users.

8. Indemnification

You agree to indemnify, defend, and hold harmless Soundbooked and its officers, members, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of this Guest Agreement or the General Terms of Service; (c) your violation of any applicable law or regulation; (d) your conduct during any session, including the conduct of any minor attendees you bring; or (e) damage you or your session group causes to a studio or its equipment.

9. Anti-Circumvention

You agree not to arrange or participate in any booking, session, or related transaction with any Studio Host discovered through the Soundbooked Platform outside of the Platform for a period of eighteen months from the date of first contact through the Platform. Off-platform transactions are a material breach of this Agreement and are grounds for immediate permanent removal from the Platform.

Studio Host Agreement

This Studio Host Agreement supplements the Soundbooked General Terms of Service, which you also agree to by creating an account. In the event of a conflict, this Studio Host Agreement controls for matters specific to Studio Hosts. This document is not a substitute for independent legal, tax, or insurance advice. Soundbooked strongly recommends that all Studio Hosts consult qualified professionals before listing on the Platform.

1. Becoming a Studio Host

To list a studio on the Soundbooked Platform, you must complete the Studio Host onboarding process, which includes identity verification, submission of studio documentation and photos, equipment inventory, and execution of this Studio Host Agreement. Soundbooked reserves the right to approve or reject any listing application at its sole discretion.

By submitting your listing application and executing this Studio Host Agreement, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal right to offer the studio space for commercial use; (c) all information submitted in your application is accurate and complete; and (d) you have read and agree to be bound by this Studio Host Agreement and the General Terms of Service.

2. What Soundbooked Provides to Studio Hosts

By listing on Soundbooked, Studio Hosts receive access to the following platform services:

  • A discoverable listing page visible to all Guests on the Platform
  • Calendar integration and real-time availability display
  • Instant Book or Request to Book booking flow
  • Stripe-powered payment processing and automatic payouts (payout release and timing are governed by Section 7)
  • In-platform messaging with Guests
  • A verified review and rating system
  • Dispute mediation through Soundbooked Support

2.1 What Soundbooked Does NOT Provide

Studio Hosts acknowledge and agree that Soundbooked does not provide:

  • Equipment damage insurance or property insurance of any kind
  • Personal injury or liability coverage for the Studio Host's premises
  • Legal representation in any dispute
  • Guaranteed booking volume or revenue
  • Tax advice or tax compliance services

The protections Soundbooked provides are platform-level facilitation tools. They are not a substitute for your own insurance coverage. See Section 5 for insurance requirements.

3. Listing Requirements and Accuracy

3.1 Accuracy Obligation

You warrant that all information in your listing — including photographs, equipment descriptions, amenities, capacity, pricing, and session types — is accurate, current, and not misleading at the time of publication. You agree to promptly update your listing to reflect any material changes.

Soundbooked reserves the right to suspend or remove any listing found to be materially inaccurate or misleading, and Studio Hosts may be required to refund affected Guests.

3.2 Photo Requirements

All listing photos must be original images of your studio space, taken within 90 days of submission. Stock images, images sourced from other listings, or images that misrepresent the space are strictly prohibited. Soundbooked may perform reverse image searches on submitted photos and will reject or remove listings containing non-original images.

3.3 Equipment Inventory and Gear List

As a condition of listing, you must submit a complete equipment inventory documenting your studio's significant gear. You may also upload a gear list image displaying your full equipment setup. All documented equipment must be consistent with your submitted listing photos and physically present in the studio space during bookings. Your equipment inventory forms the baseline record for any damage dispute and must be updated promptly if significant changes occur.

3.4 Minimum Standards

Listings must meet the following minimum standards to be approved and remain active on the Platform:

  • Declared capacity that is physically realistic for the space shown
  • Equipment list consistent with what is visible in submitted photos
  • A responsive Studio Host — failure to respond to platform communications within 72 hours may result in listing suspension
  • Rehearsal space listings must include a PA system or clearly note its absence
  • Podcast spaces must provide the equipment used to record audio
  • All spaces must provide internet access and bathroom use to guests

5. Insurance

5.1 Insurance Requirement

Studio Hosts are solely responsible for obtaining and maintaining insurance coverage appropriate for the commercial use of their property. This includes, but is not limited to:

  • General liability insurance covering bodily injury and property damage occurring on the studio premises
  • Property and equipment insurance covering the replacement value of significant studio equipment
  • For residential Studio Hosts: homeowner's or renter's insurance with a rider or endorsement covering commercial activity, or a dedicated short-term rental or home business policy

5.2 Insurance Disclosure

By executing this Studio Host Agreement, you either: (a) confirm that you carry appropriate insurance coverage as described in Section 5.1 and will provide proof of coverage upon Soundbooked's request; or (b) explicitly acknowledge that you are listing your studio without appropriate insurance coverage and accept full personal liability for any equipment damage, personal injury, or property loss occurring during a Soundbooked booking.

If you operate from a rented residential property, your standard renter's insurance policy almost certainly does not cover commercial activity. Operating commercially without appropriate coverage exposes you to significant personal financial risk. Soundbooked strongly recommends obtaining a short-term rental rider or dedicated home business policy before listing.

6. Bookings, Calendar, and Cancellations

6.1 Calendar Maintenance

You agree to keep your availability calendar current and accurate at all times. Accepting a booking for a time when your studio is unavailable is a material breach of this Agreement. Repeated calendar failures may result in listing suspension or removal.

6.2 Payment Authorization and Acceptance

When a Guest submits a booking request, their payment method is authorized for the full booking amount. The funds are reserved but not charged at the time of the request. By accepting a booking request — whether through Instant Book confirmation or manual acceptance in the Request to Book flow — you trigger the capture of the Guest's payment. You should only accept bookings you are able to honor. Accepting and subsequently cancelling a booking is a breach of this Agreement and may result in a cancellation fee as described in Section 6.4.

6.3 Cancellation Policy

At listing creation, you select one of three cancellation policy tiers that applies to all bookings of your studio:

  • Flexible: Guest receives a full refund of the studio rate if they cancel at least 24 hours before the session start time.
  • Moderate: Guest receives a full refund of the studio rate if they cancel at least 5 days before the session start time; 50% of the studio rate if cancelled after that point.
  • Strict: Guest receives 50% of the studio rate if they cancel at least 7 days before the session start time; no refund for cancellations within 7 days.

Soundbooked's service fee is retained on all Guest cancellations, and no refund is issued for a Guest cancellation submitted after the session has ended. These tiers apply only to Guest cancellations; Section 6.4 governs your own.

6.4 Studio Host Cancellations

If you cancel a confirmed booking for any reason, the Guest will receive a full refund of all amounts paid. As compensation to Soundbooked for the disruption caused by the cancellation, you will be liable for a fee equal to the applicable Studio Host-side platform fee that would have been collected on the cancelled session. This amount will be deducted from your next scheduled payout. Where the cancellation fee exceeds your next scheduled payout, Soundbooked reserves the right to recover the outstanding balance across one or more subsequent payouts until the full amount has been recouped. Soundbooked will notify you of any outstanding cancellation fee and the recovery schedule applied to your account.

Two Studio Host cancellations within any 60-day period may result in listing suspension. Repeated Studio Host cancellations are grounds for permanent removal from the Platform.

6.5 House Rules

You may establish reasonable house rules for your studio that Guests must acknowledge before booking. House rules are displayed on your listing page and must be consistent with applicable law. House rules may not discriminate on the basis of race, ethnicity, national origin, religion, gender, sexual orientation, disability, or any other protected characteristic.

7. Payments and Payouts

Your payout is released to your connected Stripe account, less applicable platform fees and any cancellation fees owed under Section 6.4, upon the earlier of: (a) your submission of a review of the Guest for the completed session; or (b) fourteen (14) days following session completion. Notwithstanding the foregoing, Soundbooked reserves the right to withhold or delay a payout, in whole or in part, where Soundbooked determines in good faith that there is a credible dispute, damage claim, or other reason to withhold release. Payout timing following release is subject to Stripe's standard processing times.

For new connected accounts, Stripe may apply an initial verification hold of up to 14 days before releasing the first payout. This hold is imposed by Stripe and is outside Soundbooked's control, and runs independently of, and may extend beyond, the review/14-day release mechanic described above. Subsequent payouts will follow Stripe's standard processing timeline.

Platform fees applicable to your account are set by Soundbooked and communicated to you at onboarding and through your Studio Host dashboard. Soundbooked reserves the right to adjust platform fees applicable to Studio Host payouts upon reasonable advance notice to Studio Hosts. During any Founding Partner period offered by Soundbooked, the applicable Studio Host-side platform fee terms will be communicated to you separately and will form part of this Agreement.

Displayed prices on the Platform are rounded up to the nearest whole dollar following the calculation of all applicable fees. The rounded amount displayed is the exact amount charged to the Guest at checkout.

8. Taxes

You are solely responsible for determining and fulfilling all tax obligations arising from your receipt of payments through the Platform, including income tax, self-employment tax, and any applicable sales or use taxes. Soundbooked does not provide tax advice. Where required by applicable law, Stripe will issue a Form 1099-K to Studio Hosts meeting applicable annual thresholds. Soundbooked strongly recommends consulting a qualified tax professional regarding your specific obligations.

9. Damage Claims and Dispute Resolution

9.1 Filing a Damage Claim

If you believe a Guest has damaged your studio or equipment during a session, you must file a damage claim through Soundbooked Support within 48 hours of session completion. Claims filed outside this window will not be eligible for mediation through the Platform.

Your claim must include:

  • A written description of the damage and how it occurred
  • Photographic evidence clearly showing the damage
  • The estimated cost of repair or replacement, referenced against your submitted equipment inventory
  • Any supporting documentation such as repair quotes or receipts

9.2 Resolution Process

Upon receipt of a damage claim, Soundbooked Support will notify the Guest and provide them 48 hours to respond with their account of the incident and any supporting evidence. Both parties are expected to engage with this process in good faith.

Soundbooked will act as a neutral mediator between the Studio Host and Guest. Our goal is to facilitate a fair resolution agreed upon by both parties. Where both parties reach agreement through mediation, Soundbooked will document the outcome and assist in coordinating any agreed payment between the parties.

Where the parties cannot reach agreement through mediation, Soundbooked will review all submitted evidence from both sides and issue a non-binding recommendation within 5 business days. If either party remains unsatisfied following Soundbooked's recommendation, they retain the right to pursue resolution through the arbitration process set forth in Section 12 of the General Terms of Service.

Soundbooked is a facilitator in this process, not a guarantor of payment. Soundbooked does not fund damage claims and is not financially liable for any damage occurring during a session.

9.3 Guest Liability for Damage

Guests remain personally liable for the full cost of any damage caused to a studio or its equipment during a Soundbooked booking, regardless of the outcome of the mediation process. A failure to reach resolution through Soundbooked's mediation process does not extinguish a Guest's liability — Studio Hosts retain the right to pursue any and all available legal remedies independently.

9.4 Booking Disputes

For disputes unrelated to equipment damage — including disputes about listing accuracy, Guest conduct, or payment — contact Soundbooked Support and the process set forth in Section 12 of the General Terms of Service applies.

10. Indemnification

You agree to indemnify, defend, and hold harmless Soundbooked and its officers, members, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of this Studio Host Agreement or the General Terms of Service; (c) your violation of any applicable law or regulation; (d) any session that takes place at your studio; (e) any injury, damage, or loss occurring on your premises; or (f) your failure to maintain adequate insurance coverage.

11. Termination of Studio Host Status

Soundbooked may suspend or permanently remove your listing and terminate your Studio Host status at any time, with or without notice, for: (a) violation of this Studio Host Agreement or the General Terms of Service; (b) repeated Guest complaints; (c) failure to maintain calendar accuracy; (d) repeated cancellations; (e) misrepresentation in your listing; or (f) any other conduct Soundbooked determines to be harmful to the Platform or its users.

You may deactivate your listing at any time through your Studio Host dashboard. Deactivation does not affect your obligations with respect to previously confirmed bookings.
